The Royal Caribbean Group’s Legal Team has an exciting career opportunity for a full time Senior Counsel reporting to the Assistant General Counsel.

Position Summary:

The Senior Counsel will be the designated member of the Company’s Development and Operations Legal Team who supports all operational aspects of Celebrity Cruises’ river cruising program. The Senior Counsel will work directly with the Celebrity Cruises brand as well as other internal departments within the Company including supply chain and global tax. The Senior Counsel will provide support to the Celebrity River team by drafting, reviewing, and negotiating a variety of contracts, identifying areas of risk (legal, reputational, and compliance), advising on and guiding the launch of new programs and projects, and providing day to day legal advice.

The position will be based in Hamilton, Bermuda, and will collaborate closely with colleagues located in the Miami, Florida office, and internationally.

Essential Duties and Responsibilities:

• Structure, draft, negotiate, and review a wide variety of Celebrity River operations contracts in accordance with company and legal department policies and guidelines, including service provider and tour operator agreements, port and dockage agreements, and charter agreements.
• Work with and actively engage cross-functional teams, including global tax, government relations, risk management, accounting, and finance to ensure alignment and incorporate their input into commercial proposals and contracts.
• Provide strategic legal advice and support the Celebrity Cruises brand (including hotel operations, marine operations, and tour operations) as well as other internal departments including corporate development, human resources, and supply chain for the Celebrity River program.
• Perform legal research and risk analysis for new business initiatives and provide business-oriented counsel and guidance on interpretation of laws, industry regulations, policies and contract provisions. Support the Board of Directors of certain wholly-owned subsidiaries in conjunction with the Miami legal team on corporate governance and regulatory matters.
• Identify and evaluate risks, propose solutions to mitigate risks, and educate internal stakeholders, including senior leadership, on legal and business risks and tradeoffs in sophisticated commercial deals.
• Work with internal and external stakeholders across international jurisdictions including Bermuda, the USA, and Europe.
• Develop ways to increase efficiency and reduce risk within the legal team, including identifying, developing and implementing improvements to policies, templates, and processes.

Education, Experience, & Qualifications:

• Resident in Bermuda, authorized to work in Bermuda, and Member of the Bermuda Bar preferred.
• Bachelor of Laws degree or similar qualifying law degree from a Commonwealth (ie. Canada, UK); LLM degree a plus.
• Experience working across international jurisdictions and with multinational companies. Minimum of 7 years of commercial, transactional and contract drafting experience either in a law firm or in-house and with strong academic credentials.
• Cruise line, shipping or hospitality experience preferred.

Knowledge & Skills:

• Excellent drafting ability; must draft contracts, reports and business correspondence.
• Sound knowledge of the Companies Act 1981, the Economic Substance Act 2018, Corporate Income Tax Act 2023, and statutory regulation relating to the administration of companies in Bermuda.
• Experience in directing strategy and managing complex transactions in a fast-paced environment.
• An innovative and effective approach to solve complex legal issues in order to support strategic business initiatives.
• Ability to translate legal advice into actionable guidance for operations and business teams.
• A high level of professionalism, strong work ethic, outstanding legal analysis and business judgment, and the ability to make decisions and assess acceptable levels of business risk.
• Understanding of the hospitality industry and the array of legal issues and challenges facing the company.
• Must be able to work independently and efficiently under time pressures and deadlines in a fast-paced environment with attention to detail.
• Ability to handle multiple urgent and important matters while maintaining professional but cordial relations with internal clients.
• Working knowledge of Microsoft Outlook, Word, Excel, PowerPoint, Docusign, contracts management system, and online research tools.
