Senior Manager, Associate Counsel

Royal Caribbean Group’s Legal Team has an exciting career opportunity for a full time Senior Manager, Associate Counsel reporting to the Director, Associate Counsel.

 

This role will work on-site in our headquarters in Miami, Florida.

 

POSITION OVERVIEW:

The position operates as designated legal counsel to a number of internal Royal Caribbean departments, including Destination Development, Private Destinations, Community Engagement, Port Operations/ Guest Port Services, and Workplace Solutions.  This attorney reviews, negotiates, and prepares a variety of contracts, including real estate development and operations related agreements, and provides strategic legal advice on a broad range of topics.  This position provides legal support to the General Counsel and other attorneys in the Legal Department as required.   

 

ESSENTIAL DUTIES AND RESPONSIBILITIES:

  • Supports the Destination Development team with respect to cruise port development, strategic joint ventures, and cruise port asset management, including the due diligence and acquisition of projects/concessions, negotiation of strategic joint ventures, and the drafting and negotiation of legal agreements in connection with the design, pre-development, construction, and operation of the cruise port projects.   

  • Supports the Private Destinations and Product Development teams with Coco Cay at Perfect Day and Labadee, and the Perfect Day and Royal Beach Club portfolio pipeline, including the due diligence and acquisition/leasing of new project sites, and the drafting and negotiation of legal agreements in connection with the design, pre-development, construction, and operation of the projects.   

  • Supports the Company with respect to its international real property portfolio and strategic real estate initiatives, including real estate acquisitions, dispositions, and leasing.  Includes drafting and negotiating purchase and sale agreements, leases, and various service agreements. 

  • Draft, negotiate, and review (a) transactional real estate documents, including, among others, letters of intent, memorandum of understanding, heads of agreement, development agreements, purchase and sale agreements, lease agreements, and confidentiality agreements, (b) loan and other financing documents, and (c) general corporate documents, including organizational documents, shareholder, partnership, and joint venture agreements. 

  • Supports the Community Engagement team with the negotiation and drafting of various legal agreements with respect to the Company’s global charitable outreach. 

  • Provide strategic legal advice to a number of internal departments and assist with administration of contracts in accordance with Company policies and legal requirements. 

  • Develops, creates, improves and drafts standard form contracts for high volume agreements, and bespoke agreements related to the Company’s strategic initiatives, port development, and real international real estate.

QUALIFICATIONS: 

  • Juris Doctor from an accredited U.S. law school, with strong academic credentials. 

  • License to practice law required; Florida Bar preferred. 

  • Minimum of 4 to 6 years of real estate/transactional experience; medium/large law firm and/or in-house experience is preferred. 

 

KNOWLEDGE AND SKILLS:

  • Strong analytical and reasoning skills, excellent judgment, and the ability to make decisions and assess acceptable levels of business risk. 

  • Excellent drafting ability; must draft contracts, reports, and business correspondence. 

  • Must be able to work independently and efficiently under time pressures and deadlines in a fast-paced environment with attention to detail. 

  • Must work with a sense of professional pride, possess a strong work ethic, be proactive, enthusiastic, and flexible, and have business and personal integrity. 

  • Ability to effectively communicate with senior management, including the ability to simplify technical and legal jargon; effective public speaking ability. 

  • Must be highly organized, detailed oriented, responsive, and dependable. 

  • Ability to handle a high volume of urgent and important matters while maintaining professional but cordial relations with internal clients. 

  • Working knowledge of Microsoft Outlook, Word, Excel, PowerPoint, and online research tools.
